1. INTRODUCTION & ACCEPTANCE
These Capital, Asset & Community Platform Terms (“Platform Terms”) govern participation in, access to, or engagement with any project, opportunity, or initiative structured under the Capital + Asset + Community (CAC) framework facilitated by REAL ESTATE DRS ENTERPRISE LIMITED REDOC HOMES LIMITED (“REDOC HOMES”, “Company”, “we”, “our”, “us”).
By registering interest, submitting information, making financial commitments, joining any REDOC HOMES community-based project, or engaging any CAC offering, you (“Participant”, “Investor”, “Partner”) expressly confirm that you have read, understood, and accepted these Platform Terms, together with:

- The Privacy Policy
- Any project-specific agreements or disclosures
If you do not agree, you must not participate in any CAC platform activity.
2. DEFINITIONS
- “Capital” means monetary contributions or financial commitments made for participation in a CAC project.
- “Asset” means land, developments, estates, buildings, titled interests, or legally recognizable real estate assets.
- “Community” means a governed real estate environment comprising shared infrastructure, rules, management frameworks, and long-term planning.
- “Platform” refers to the Capital + Asset + Community structure through which REDOC HOMES facilitates participation.
- “Participant” includes investors, partners, asset owners, or community members engaging the Platform.
3. NATURE OF THE CAPITAL, ASSET & COMMUNITY PLATFORM
The CAC Platform is designed to:
- Combine capital, real assets, and governed communities
- Enable structured real estate participation beyond raw land banking
- Promote long-term value creation through governance, servicing, and environmental control
The Platform is not a collective investment scheme, pooled fund, or regulated securities product.
4. SCOPE OF SERVICES (UPDATED)
REDOC HOMES may provide the following under the CAC Platform:
4.1 Platform Structuring & Governance
- Structuring CAC projects and community-based real estate models
- Designing governance, rules, and participation frameworks
4.2 Asset & Project Facilitation
- Identification and structuring of real assets
- Coordination with asset owners, developers, and service providers
- Title review and documentation facilitation (non-legal)
4.3 Capital & Partnership Facilitation
- Capital onboarding and allocation coordination
- Joint Venture and partnership facilitation
- Communication between capital providers, asset contributors, and community stakeholders
4.4 Community Development & Site Servicing
- Planning and staging of shared infrastructure
- Environmental control, layout implementation, and site servicing
- Long-term community management coordination
4.5 Advisory & Information Services (Non-Financial)
- General real estate and project advisory
- Educational content and feasibility discussions

5. PARTICIPANT OBLIGATIONS
Participants agree to:
- Conduct independent due diligence
- Review all project documents carefully
- Seek independent legal, tax, or financial advice
- Comply with governance rules, timelines, and community standards
Failure to comply may result in suspension or termination of participation.
6. CAPITAL DEPLOYMENT & NON-LIQUIDITY
- Capital deployed into CAC projects is subject to real estate and project risks
- Capital is generally illiquid until defined exit milestones
- Timelines are estimates and not guarantees
7. RETURNS, APPRECIATION & EXITS
- Returns are derived from asset value creation and community development
- Appreciation is not guaranteed
- Exit mechanisms are project-specific and documented separately
REDOC HOMES does not guarantee returns, timelines, or exit outcomes.
8. FEES & COSTS
Projects may involve:
- Platform or management fees
- Infrastructure and servicing contributions
- Legal, documentation, or regulatory charges
All applicable costs shall be disclosed prior to commitment.
9. RISK DISCLOSURE
Participants acknowledge risks including:
- Market and valuation risk
- Regulatory and title-related delays
- Infrastructure and development risks
- Force majeure events
Participation is at the participant’s own risk.
10. WEBSITE & MARKETING DISCLAIMER
Information on the website or promotional materials is for general information only and does not constitute a binding offer. Only executed written agreements shall govern participation.
11. LIMITATION OF LIABILITY
To the fullest extent permitted by law, REDOC HOMES shall not be liable for:
- Market fluctuations or loss of value
- Acts or omissions of third-party asset owners, developers, or authorities
- Indirect or consequential losses
12. TERMINATION & SUSPENSION
REDOC HOMES reserves the right to suspend or terminate participation where:
- These Platform Terms are breached
- Misrepresentation or fraud is detected
- Community governance rules are violated
13. GOVERNING LAW & DISPUTE RESOLUTION
These Platform Terms are governed by the laws of the Federal Republic of Nigeria.
Disputes shall be resolved through good-faith negotiation, mediation or arbitration, and where necessary, the courts of competent jurisdiction in Nigeria.
