This Investor Risk Disclosure & Acknowledgment (“Disclosure”) is issued by REDOC HOMES LIMITED (“REDOC HOMES”, “Company”, “we”, “our”, “us”) to ensure transparency and informed participation in all opportunities facilitated under our Capital + Asset + Community Platform.

This document must be read carefully before registering interest, committing capital, or participating in any REDOC HOMES project.

1. PURPOSE OF THIS DISCLOSURE

The purpose of this Disclosure is to:

  • Clearly outline the nature of REDOC HOMES’ services
  • Explain the risks associated with real estate–based participation
  • Confirm informed consent and acknowledgment by investors and participants

Participation in any REDOC HOMES project is voluntary and undertaken at the participant’s own discretion.

2. NATURE OF REDOC HOMES’ ROLE

REDOC HOMES operates as a Capital + Asset + Community Platform that facilitates:

  • Structuring of real estate assets and governed communities
  • Coordination between capital providers, asset owners, developers, and community stakeholders
  • Project communication, governance frameworks, and site servicing

REDOC HOMES:

  • Is not a bank, fund manager, trustee, stockbroker, or portfolio manager
  • Does not operate a collective investment scheme
  • Does not guarantee capital, returns, or exit timelines

3. SCOPE OF PARTICIPATION

Participation may involve:

  • Capital contributions
  • Asset-based partnerships
  • Community-based real estate projects
  • Long-term holding, development, or value-creation strategies

Each project is governed by separate project-specific documents, which prevail over general website information.

4. KEY RISK FACTORS

Participants acknowledge and accept the following non-exhaustive risks:

4.1 Market & Valuation Risk

Real estate values may fluctuate due to economic, market, or policy changes.

4.2 Liquidity Risk

Real estate participation is illiquid. Capital may not be withdrawable until defined exit milestones.

4.3 Regulatory & Title Risk

Government approvals, title perfection, zoning, and land-use regulations may cause delays or restrictions.

4.4 Development & Infrastructure Risk

Delays or variations may arise from construction, site servicing, access roads, utilities, or community factors.

4.5 Counterparty & Third-Party Risk

Performance of asset owners, developers, contractors, or community stakeholders may impact outcomes.

4.6 Force Majeure

Events beyond reasonable control (government action, natural disasters, policy changes) may affect projects.

5. NO GUARANTEE OF RETURNS

Participants expressly acknowledge that:

  • Returns, appreciation, or income are not guaranteed
  • Projections, timelines, and illustrations are estimates only
  • Past performance does not predict future results

Capital is subject to real estate and project-related risks.

6. DUE DILIGENCE & INDEPENDENT ADVICE

Participants confirm that they:

  • Have conducted or will conduct independent due diligence
  • Understand the project structure and documentation
  • Have been advised to seek independent legal, tax, or financial advice

7. NON-RELIANCE & REPRESENTATIONS

Participants acknowledge that:

  • They have not relied solely on marketing materials, website content, or verbal statements
  • Only executed written agreements form binding obligations
  • No representation outside official documents shall be binding on REDOC HOMES

8. ACKNOWLEDGMENT OF RISK & CONSENT

By proceeding, the participant expressly confirms that:

  • They understand the nature of the Capital + Asset + Community Platform
  • They accept all disclosed risks
  • They are financially capable of bearing potential losses
  • They consent to participate without guarantees

9. LIMITATION OF LIABILITY

To the fullest extent permitted by law, REDOC HOMES shall not be liable for:

  • Loss of capital or expected returns
  • Delays arising from regulatory or third-party actions
  • Indirect, incidental, or consequential losses

10. GOVERNING LAW & DISPUTE RESOLUTION

This Disclosure is governed by the laws of the Federal Republic of Nigeria.

Disputes shall be resolved through good-faith negotiation, mediation or arbitration, and where necessary, the courts of competent jurisdiction in Nigeria.

11. ACCEPTANCE
